As of July 5, 2021, the province of Ontario in Canada has eliminated the previous residency requirement for directors of corporations. Before this change, Ontario corporations were obligated to have at least 25% of their board directors as Resident Canadians, defined as Canadian citizens or Permanent Residents. Non-resident Canadian citizens were not considered Resident Canadians. With the passing of Bill 213 in Ontario, this requirement has been removed, providing the opportunity for non-residents or foreigners to now incorporate in the province of Ontario. It's important to note that this change applies to Ontario corporations only, as federal corporations in Canada still require Resident Canadians on their boards.
